Terms of Service

1. Preamble and Acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between CROapps Oy (Business ID: 3550932-5), a company registered in Finland ("Company," "we," "us," or "our"), and you ("User," "you," or "Licensee").

These Terms govern your access to the website https://crotheme.com (the "Site") and the purchase, download, and use of our proprietary software, the CROtheme (the "Theme" or "Product").

BY CREATING AN ACCOUNT, PURCHASING A LICENSE, OR DOWNLOADING THE PRODUCT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

2. Definitions

• "Theme Package" refers to the digital files (ZIP archive containing HTML, CSS, JS, Liquid, and JSON files) provided by the Company upon purchase.
• "License" refers to the limited, revocable permission granted to the User to install and use the Theme Package.
• "Authorized Store" refers to the single Shopify store identified by its permanent myshopify.com URL as registered in the User’s Dashboard, including any custom domain mapping to that handle.
• "Dashboard" refers to the license management portal located at crotheme.com/dashboard/licenses.

3. Nature of Sale (Grant of License)

You acknowledge that by "buying" the Theme, you are not purchasing ownership of the software itself. You are purchasing a License to utilize the Theme Package on Shopify, subject to the restrictions in this Agreement. CROapps Oy retains all ownership and copyright.

4. License Agreement

4.1. One License = One Store

• Assignment: The License is valid for one (1) Authorized Store at a time. You must input the store’s myshopify.com URL in your Dashboard to activate the License.
• Portability: You may transfer the License to another store by updating the myshopify.com URL. The License cannot be active on two stores simultaneously.
• Store Identity: Licensing is validated against the myshopify.com handle. Custom domain changes do not affect validation.
• Theme updates: We will provide at least one (1) year of free theme updates starting from the purchase date.

4.2. Agency and Client Policy

• License Ownership: The License belongs to the Account Holder on crotheme.com, not the Shopify store.
• Non-Transferable to Client: Licenses cannot be transferred from an agency account to a client’s personal account.
• Client Management: If a client wishes to manage the License or access support independently, they must purchase their own License.

4.3. Permitted Modifications

You may modify the Theme’s HTML, CSS, and Liquid code to customize your Authorized Store and add additional JS files.

4.4. Strict Prohibitions and Anti-Tampering

• Tampering with Verification: Removing, bypassing, or disabling license verification or DMCA protection mechanisms is strictly prohibited.
• Redistribution: You may not sell, rent, sub-license, or give away the Theme Package, modified or unmodified.
• Public Exposure: Uploading the Theme Package to public repositories or file-sharing platforms is prohibited.

5. Suspension, Freezing, and Termination

5.1. Right to Freeze

We may temporarily freeze your License(s) without notice if suspicious activity is detected, including:

• Excessive License transfers
• Simultaneous use of a License on multiple stores
• Payment disputes or potential fraud

5.2. Termination

We may terminate your Account and revoke License(s) permanently, without refund, for violating the prohibited use clauses in Section 4.4.

6. Payments and Refund Policy

6.1. Waiver of Right of Withdrawal

You acknowledge that the Product is a digital good. By purchasing and downloading or activating the License, you agree to waive any statutory right of withdrawal under EU or international consumer law.

6.2. Refund Policy

All sales are final. Refunds are not issued for change of mind, incompatibility with third-party apps, or insufficient technical expertise. Exceptions may be made solely at our discretion for verified technical defects that cannot be resolved.

7. Disclaimers and Limitation of Liability

7.1. "As Is" Warranty

The Product is provided "AS IS" without warranties. We do not guarantee compatibility with all browsers, apps, or future Shopify changes.

7.2. Limitation of Liability

To the fullest extent permitted by law, CROapps Oy is not liable for indirect or consequential damages. Total liability is limited to the amount paid for the Product.

8. Intellectual Property

All intellectual property rights in the Product are owned exclusively by CROapps Oy. The Product is protected by copyright, trademark, and related laws.

9. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. It is your responsibility to check for updates regularly.

10. Governing Law

These Terms are governed by the laws of Finland. Disputes shall be resolved by the District Court of Helsinki (Helsingin käräjäoikeus).
